3. AI TECHNOLOGY RISKS AND KNOWN LIMITATIONS

4. THIRD-PARTY API DEPENDENCY

5. COMPLETE ASSUMPTION OF RISK

BY DOWNLOADING, INSTALLING, OR USING THIS APPLICATION, YOU VOLUNTARILY AND KNOWINGLY ASSUME ALL RISKS ASSOCIATED WITH THE USE OF AI-GENERATED LEGAL DOCUMENTS. THIS INCLUDES, WITHOUT LIMITATION, THE RISK OF:

Financial loss or damages arising from unenforceable, invalid, or misleading contract terms;
Legal liability, penalties, fines, sanctions, or injunctions arising from non-compliant documents;
Loss of legal rights, causes of action, defenses, or limitation periods due to improper or missing provisions;
Criminal exposure arising from documents that fail to meet regulatory requirements (e.g., tax, securities, healthcare);
Reputational harm from professionally inadequate legal documents;
Regulatory enforcement actions resulting from non-compliant privacy policies, terms of service, or other compliance documents;
Invalidation of contracts, agreements, or filings by courts or administrative bodies;
Any and all consequences of acting upon AI-generated content without proper legal counsel.

6. MAXIMUM LIMITATION OF LIABILITY

TO THE ABSOLUTE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO LEGAL THEORY — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), PRODUCT LIABILITY, STATUTE, WARRANTY, OR OTHERWISE — SHALL MTG SOFTWORKS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR API PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

Any direct, indirect, incidental, special, consequential, exemplary, or punitive damages;
Loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings;
Cost of procurement of substitute services;
Legal fees, court costs, arbitration fees, settlement amounts, fines, or penalties;
Any damages whatsoever arising from your use of, inability to use, or reliance upon any AI-generated document.

Aggregate Liability Cap: If, notwithstanding the foregoing, any liability is imposed on MTG Softworks by any court of competent jurisdiction, the total cumulative liability for all claims shall not exceed the lesser of (a) the amount you actually paid for the specific transaction giving rise to the claim, or (b) $2.99 USD.

EU/UK Consumer Note: Certain EU/UK consumer protection laws (including the Product Liability Directive 2024/2853 and the proposed AI Liability Directive 2022/0303(COD)) may override certain limitations. In such cases, our liability is limited to the maximum extent permitted by applicable mandatory law. Nothing in this Disclaimer excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

7. INDEMNIFICATION

You agree to fully indemnify, defend, and hold completely harmless MTG Softworks, its founders, officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and expert witness fees) arising out of or related to:

Your use of the Service or any AI-generated document;
Your failure to obtain independent legal review before relying on generated content;
Your violation of any applicable law, regulation, or third-party right;
Any third-party claim arising from a document you generated, executed, filed, or distributed using the Service;
Your breach of these terms, the Terms of Service, or the Privacy Policy.

EU/UK Consumer Limitation: This indemnification obligation does not apply to the extent it would be deemed an "unfair term" under the EU Unfair Contract Terms Directive (93/13/EEC) or the UK Consumer Rights Act 2015, Part 2.

You understand and accept the inherent limitations and risks of Generative AI technology as described in this Disclaimer;
